SVARC Constitution

Preamble:
We, the undersigned, wish to secure for ourselves
the pleasures and benefits of the association of persons commonly
interested in amateur radio, constitute ourselves the Susquehanna
Valley Amateur Radio Club and enact this constitution as our governing
law. It shall be our purpose to further exchange of information
and co-operation between members, to promote radio knowledge,
fraternalism and individual operating efficiency, and to so conduct
club programs and activities as to advance the general interest
and welfare of amateur radio.
Section
1 - All persons interested in amateur
radio communications* shall be eligible for membership. (membership
shall be by applications and election upon such terms as the club
shall by its by-laws provide.)
Section
2 -Associate membership - any persons
interested in amateur radio activities or licensed amateurs not
desirous of full member status may join the SVARC as associate
members. Associate members may not vote or hold office.
Section
1 - The officers of this club shall
be: president, vice-president, Secretary and/or treasurer, and
activities manager. Officers will be regular or full members
of the club.
Section
1a -
Three regular or full members shall be elected by the general
membership to the position of trustee. One trustee shall be elected
for a term of one year, one for two years, and one for three years.
Trustees shall serve with the elected officers on board of directors.
Section
2 - The officers of this Club shall be elected for
a term of one year by ballot at the December meeting. The ballot
may be cast by the members present or by absentee ballot. The
absentee ballot will be sent out after the October meeting to
those paid members who will not be attending the December meeting.
The completed ballot will be sent to the Club treasure prior to
the December meeting. The Treasure will bring all absentee ballots
to the December meeting to be counted. The officers are to serve
for 1 fiscal year beginning January 1 of each calendar year.
Section
3 - Vacancies occurring between elections
must be filled by special elections at the first regular meeting
following the withdrawal or resignation.
Section
4 - Officers may be removed by a three-fourths
vote of the membership present at a special meeting, called for
the purpose of taking action for removal.
| (iii) - Duties
of Officers |
Section
1 -
The President shall preside at all meetings of this club, and
conduct the same according to the rules adopted. He/she shall
enforce due observance of this constitution and by-laws, decide
all questions of order, sign all official documents that are adopted
by the club and none other, and perform all other customary duties
pertaining to the office of the president.
Section
2 - The Vice-President shall assume
all the duties of the president in the absence of the latter.
Section
3 - The Secretary shall keep a record
of the proceedings of all meetings, keep a roll of members, submit
applications for membership, carry on all correspondence, read
communications at each meeting, and mail written meeting notices
to each member. He/she shall at the expiration of his term turn
over all items belonging to the club to his/her successor.
Section
4 - The Treasurer shall receive and
receipt for all moneys paid to the club, he/she shall keep an
accurate account of all moneys received and expanded, he/she shall
pay no bills without proper authorization (by the club or the
board of directors). At each monthly meeting he/she shall submit
an itemized statement of disbursements and receipts. He/she shall
at the expiration of his/her term turn over everything in his/her
possession belonging to the club to his/her successor.
Section
5 - The Activities Manager shall organize club member
activities, plan and recommend contests for operating benefit,
and advance club interest and activity as approved by the club.
He/she shall maintain close liaison with ARRL Emergency Coordinator
or SEC to further club participation in the amateur radio public
service corps. He/she shall encourage new stations in reporting
activities to the club (bulletin) and to the elected section communications
manager of the ARRL; all these things to make the reputation of
the club and amateur radio activities in the community as outstanding
as possible. He/she may appoint traffic committees or assistants
to aid him/her in specific branches of activity.
Section
6 - Duties and responsibilities of board
of directors:
Subsection
a -
The board of directors shall see to the management of the day
to day affairs of the SVARC in order to accomplish the purposes
of the SVARC.
Subsection
b - The board of directors is responsible
for insuring that all actions and activities of the SVARC are
in accordance with the SVARC constitution and by-laws.
Subsection
c - The board of directors is responsible
for the performance of all duties assigned to them by the constitution
and by-laws. Any board member may be removed from his/her position
on the recommendation of the board of directors and confirmation
by the voting members.
Subsection
d - The board of directors may, at its
discretion, delegate any of their duties to a committee or manager.
However, the board of directors is still responsible to the membership
for the proper performance of any duties so delegated.
Section
7 - Authorization to expend funds -
in order to accomplish section 6a of this article, the board of
directors is authorized to spend up to $100 in any given month
without prior approval of the membership.
The
by-laws shall provide for regular and special meetings. At meetings,
attendance as set forth by the by-laws shall constitute a quorum
for the transaction of business.
The club, by majority
vote of those present at any regular meeting, may levy upon the
general membership such dues as shall be deemed necessary for
the business of the organization within its objects as set forth
in the preamble. Non-payment of such dues shall be cause for expulsion
from the club within the discretion of the membership.
| (vi) - Membership
Assistance |
This
club shall enact appropriate rules to minimize interference in
operation between stations of its members; it shall formulate
adequate plans for disposition of any cases of interference to
other radio services where reported as caused by any amateur station
operation in the area of club jurisdiction. The club through designated
interference public relations and operating committees will provide
technical advice to members concerning equipment design and operation
to assist in frequency observance, clean signals, uniform practice,
and absence of spurious radiations from club member-stations.
The club shall also maintain a program to foster and guide public
relations.
This
constitution or the by-laws may be amended by a two-thirds vote
of members present at two (2) successive business meetings. Proposals
for amendments shall be submitted in writing at a regular meeting
and shall be voted on at the next following business meeting,
provided all members have been notified by mail of the intent
to amend the constitution and/or by-laws at said meeting. Mailing
is to include proposed amendment as submitted, in writing, for
consideration.
Robert's
rules shall govern proceedings.
